Jodi Xu Klein and Suzanne Kapner \n\n\n \n\n\n Bed Bath & Beyond Inc.'s financing options to help staunch its cash bleed have narrowed after billionaire activist Ryan Cohen sold all his shares in the company last week. Now, the struggling retailer is under more pressure to persuade lenders to provide it with fresh funds. \n\n\n Since Mr. Cohen on Wednesday announced plans to sell his entire 10% stake, many of the individuals who followed him to invest in the retail chain's shares have also sold. Its stock slid more than 60% over two days to close at $11.03 on Friday. Before that, its shares had more than quadrupled this month through Wednesday. \n\n\n The falling share price has made it less likely that the retailer can fix its financial problems by issuing stock, as other struggling companies have done when they suddenly sparked the interest of bullish individual investors. \n\n\n The company has signaled it has to raise cash; while it has said it should be fine for a year, its business remains in decline. It has been working with restructuring consultant Berkeley Research Group LLC to improve its cash, balance sheet and inventory positions, the company said in June. \n\n\n Bed Bath & Beyond didn't respond to requests for comment. \"We are continuing to execute on our priorities to enhance liquidity, make strategic changes and improve operations to win back customers, and drive cost efficiencies,\" company spokesman Eric Mangan has said previously. \n\n\n On Monday, S&P Global Ratings cut the company's credit rating further with a negative outlook, indicating it could downgrade the ratings again in the near future. The ratings company cited poor sales, shrinking liquidity and looming debt maturities as rationale for the downgrade. \n\n\n \"We believe macro conditions are worsening and prospects for home goods sales continue to deteriorate,\" according to the report. \n\n\n The negative outlook \"reflects the risk the company could default on its debt or pursue a restructuring in the coming 12 months if its turn-around efforts do not gain significant traction,\" S&P said. \n\n\n The company's sales in the latest quarter declined 25% from a year earlier. In late May, it had about $108 million in cash reserves, down from $440 million in February. In financial filings, it said that it had a solid liquidity position and could generate cash it needed from an existing credit line and its operations for the next year. \n\n\n Recently, it has been hunting for $375 million in debt to pad its cash levels and help pay down existing debt, people familiar with the matter have said. A loan deal would help reassure suppliers and provide liquidity to fund inventory for the crucial holiday shopping season. \n\n\n Law firm Kirkland & Ellis LLP is advising the company on the financing, according to a person familiar with the situation. Bloomberg earlier reported on the law firm's work with the company. \n\n\n The Union, N.J., retailer has been reaching out to vendors to try to negotiate longer payment terms, the person said. One firm that finances suppliers has stopped providing credit on shipments to Bed Bath & Beyond, this person said, a sign of concern in the retailer's ability to pay vendors. \n\n\n Urged by Mr. Cohen through his investment firm RC Ventures, Bed Bath & Beyond said earlier this year it would explore strategic options, including a potential sale of the BuyBuy Baby brand, which had 135 stores as of May. The company's interest in separating the seller of baby items and nursery furnishings has since cooled, according to people familiar with the discussions. \n\n\n The prospective loan, marketed by JPMorgan Chase & Co., would be secured by intellectual property at the company's BuyBuy Baby division and structured in a way that would be ranked below other secured debt if the company files for bankruptcy, people familiar with the matter have said. Credit investors, including some focusing on distressed debt, have been scrutinizing the brand's value to decide whether it is enough to secure the loan, the people said. \n\n\n A credit investor who submitted a proposal in recent days as the company's stock price rose asked the retailer to issue more stock as part of the debt deal, one of the people said. The company hasn't publicly indicated that it is considering an equity offering since the shares began rallying earlier this month, just as equity analysts were downgrading its prospects. \n\n\n The retailer has said that it would provide an update on efforts to strengthen its balance sheet at the end of the month. \n\n\n As its stock lost steam, Bed Bath & Beyond's 2024 bonds also dropped in tandem, trading at roughly 40 cents on the dollar Friday, down nearly 27% from two days earlier, according to MarketAxess. The discounted price shows debtholders aren't confident the notes would be paid out in full, implying that equity is at high risk of being wiped out, as is common in a restructuring. \n\n\n Still, there is recent precedent for troubled businesses to defy debt markets to generate shareholder value. Professional investors largely assumed that Hertz Global Holdings Inc. was valueless after it filed for bankruptcy in 2020, but it was amateur stockholders who won big betting the rental-car business would recover beyond the pandemic. \n\n\nAMC Entertainment Holdings Inc. also sold $2.2 billion of equity to get through the pandemic after becoming a favorite of individual traders, despite severe financial strains. Debt financing also requires confidence in Bed Bath & Beyond rebounding from operating missteps, including plowing money into private-label brands that alienated customers and had poor sales. \n\n\n As the company adds name brands back, some suppliers are no longer giving the retailer the preferential treatment it once enjoyed, according to other people familiar with the matter. Some suppliers that once sold at Bed Bath & Beyond exclusively have broadened their distribution to include other retailers, the people said. \n\n\n If the home-goods retailer, known for its large assortment of products, manages to get fresh funding, it would ease the pressure by suppliers who might further tighten payment terms or demand cash upfront for merchandise. Its comparable sales growth stalled out, and its attempts to buy more growth through acquisitions made its business even messier. It also fell into the trap of using aggressive, margin-crushing discounts to generate more sales.Bed Bath & Beyond's poor performance prompted a trio of activist investors to revolt in 2019, which led to a shakeup of its board of directors and the resignation of its CEO Steven Temares. It then hired Mark Tritton, Target's chief merchandising officer, as its new CEO to helm its turnaround efforts.Tritton tried to fix Bed Bath & Beyond by shuttering its weaker stores, divesting its non-core banners, expanding its e-commerce ecosystem, and reducing its inventories with steep discounts. On July 1, Gove bought 50,000 shares of Bed Bath & Beyond at an average price of $4.61 -- which nearly doubled her existing stake -- as a vote of confidence in its future.Can Bed Bath & Beyond's stock recover?During the company's shareholder meeting in mid-July, Gove said it was \"working with urgency\" and \"very focused on finding the best opportunities available to maximize value for all stakeholders.\"Gove highlighted the growth of its Simply Essential private label brand, the expansion of its new loyalty program (which launched on June 23 and gained two million members in the first two weeks), and fresh sales strategies for the back-to-school shopping season as potential near-term catalysts.She said the company was still addressing its supply chain and inventory issues, and that the \"next few weeks and months\" would be \"critically important\" for its future. Gove also said the company would also provide \"much more\" information at an upcoming investor presentation in late August.Gove's comments are realistic and hopeful, but they don't seem to justify the stock's massive rally over the past month. Even after tumbling more than 90% from its peak in early August, AMTD Digital’s 2,221% gain since listing in New York five weeks ago rivals GameStop Corp.’s surge at the peak of meme-stock mania.One analyst has called AMTD Digital -- whose leader is appealing a ban from Hong Kong’s securities industry -- “the mother of all shorts.”Yet ask professional short sellers about the stock, and they’re more likely to say it’s incredibly risky to bet against. AMTD’s tiny free float and low turnover makes borrowing shares prohibitively expensive for short sellers, while its extreme volatility could wipe out bearish positions in an instant.“As a professional short seller, you want to stay a mile away from this,” Soren Aandahl, whose Blue Orca Capital is best known for betting against companies based in China and Hong Kong, said in an interview. “It’s so enormously volatile that it’s really dangerous.”That reticence helps explain why AMTD Digital -- little-known even within Hong Kong financial circles until its eye-popping gain -- is still valued at more than $30 billion, making it bigger than about half the companies in the S&P 500 Index.With stocks like GameStop and Bed Bath & Beyond Inc. climbing once again, AMTD Digital offers a stark reminder that seemingly irrational gains can last far longer than one would expect even in the age of meme investing. Tellimer Ltd. became the first and sole brokerage to initiate coverage of the company, according to data compiled by Bloomberg, assigning it a sell rating on Monday in a report titled “AMTD Digital: The mother of all shorts.”While the gains in AMC and GameStop were fueled by by a coordinated effort among retail investors to squeeze short sellers, Tellimer analyst Nirgunan Tiruchelvam said AMTD “seems to be a very curious case.”AMTD Digital’s short interest as a percentage of shares outstanding is less than 0.1%, according to Markit data. One big deterrent for bears is the excessively high cost of borrowing the stock to sell it short. AMTD Digital’s IPO prospectus lists revenue from contracts with customers of just $21.5 million and profit of $23.9 million for the ten months ended in February.As of Monday, investors needed to pay an annualized interest rate of 900%, according to Blue Orca’s Aandahl. Recent industry data showed that video game sales slid by19% in May, reaching a 24-month low.
